Why Texas?

Texas is the number one state in the United States for foreign direct investment and global exports. Brazilian companies have already invested more than $1.6 billion here in recent years, creating over 1,300 jobs. Key sectors include energy, food, petrochemicals, semiconductors, IT, industrial automation, microprocessors, telecommunications, and infrastructure — all areas where Brazilian expertise is highly competitive.

Three Essential Pillars for U.S. Market Entry

01

Business Structure

Choosing the right entity structure in Texas is the foundation for operational success and immigration strategy alignment.

Key Structural Decisions

  • New Entity vs. Subsidiary: Whether to form a standalone U.S. entity or establish a subsidiary of the Brazilian parent company.
  • LLC vs. Corporation: LLCs offer operational flexibility but may complicate immigration; C-Corps facilitate stock-based visas and equity structures.
  • Ownership Structure: Percentage allocation, voting rights, and vesting schedules must align with both business objectives and immigration documentation.
02

Contracts & Technology

Technology and commercial contracts require specialized legal drafting to protect intellectual property and limit liability.

Essential IP Protections

  • Commercial contracts: Agreements with developers, consultants, and service providers must include invention assignment and confidentiality clauses; otherwise third parties may retain critical IP ownership.
  • Licensing terms: Clearly define code and data ownership, permitted use, liability limitations, and service levels.
  • Data protection: GDPR, LGPD, and U.S. state privacy laws impose specific obligations on data collection, processing, and storage.
03

Immigration Strategies

Immigration pathways for entrepreneurs, executives, and key talent require strategic planning integrated with corporate structure.

Main Immigration Pathways

  • Investment-Based (E-2, EB-5): Substantial capital investment and job creation; E-2 requires treaty country nationality and active business management.
  • Intracompany Transfers (L-1A/L-1B): Executives, managers, and specialized knowledge employees transferred from the Brazilian parent company.
  • Talent-Based (O-1, EB-1): Extraordinary ability in business, technology, or the arts; requires documented achievements and recognition.

Business & Technology Law

She provides strategic counsel to entrepreneurs, startups, and technology companies on Texas entity formation, commercial and technology transactions (including IP licensing, SaaS/software agreements), startup structuring, and ongoing corporate representation.

Immigration & Family Law

Mrs. Milanez expertly aligns corporate structures with U.S. immigration objectives — such as investment-based strategies (emphasizing substantial capital investment and job creation), intracompany executive transfers, and talent-based visas — while handling family-based immigration matters (visas, green cards, naturalization) and Texas family law issues (marriage, divorce, child custody, prenuptial agreements).

With over 20 years of combined corporate and legal experience, Mrs. Milanez delivers practical, results-driven guidance to individuals, families, and businesses navigating complex legal challenges.

Admitted to practice in Brazil, California, and Texas, she earned her law degree in Brazil and a Master of Laws (LL.M.) from St. Mary's University School of Law in San Antonio, Texas. Mrs. Milanez launched her corporate career in 2000 at Alpargatas-Santista S/A, managing commercial agreements and intellectual property matters (including trademarks and patents). She then spent 12 years at Dell USA negotiating sophisticated technology agreements across sales and procurement. Entering U.S. immigration law in 2016 as a law clerk, she founded her own firm in 2018, successfully managing hundreds of visa petitions, business formations, and technology transactions.

Fluent in English, Portuguese, and Spanish, Mrs. Milanez actively supports local immigrant communities and enjoys exploring the Texas Hill Country with her husband, Mr. David Fujimoto.
